Capital Hope appoints TechAk/Mr. Ashish Meghwal to design, develop, test, deploy and deliver the Capital Hope FMS as per the mutually approved PRD. The system shall have Admin, Worker and Vendor windows.
The Developer shall develop the agreed FMS including role-based access, login/OTP, user management, claims, Book3.xlsx import, payout/TDS/B-F/C-F calculations, payment approval workflow, Vendor portal, data isolation, reports, audit trail, SMS, DigiLocker, deployment, testing/bug fixing and the CIBIL module described below.
Original development cost: Rs. 25,000/-. Additional CIBIL module development/integration fee: Rs. 4,000/-. Total development consideration: Rs. 29,000/- (Rupees Twenty-Nine Thousand Only), subject to the agreed payment milestones.
Expected completion: 2–3 months from commencement. Developer shall hand over the complete software only after development, testing and successful production deployment/public Go-Live. The 12-month free service period starts from the actual Go-Live date, not from development start or payment date.
After final agreed payment, client-specific source code, database structure, documentation, configurations and deployment files developed specifically for Capital Hope shall be handed over. Capital Hope may use, modify, maintain, host, back up and engage another developer. Generic/pre-existing components remain subject to their applicable rights/licenses.
Capital Hope shall test the software against the approved PRD. Agreed features that are incomplete, defective or materially different shall be corrected without additional development charges. Final acceptance follows successful testing of major agreed functionality.
A CIBIL/Credit Report Checking Module shall be available to Admin, Worker and Vendor, subject to authorized API/service availability and applicable permissions. The Rs. 4,000/- is a one-time software development/integration fee, NOT Rs. 4,000/- per CIBIL check/report. Actual third-party CIBIL/API/subscription/wallet/recharge/tax/service charges, if any, shall be paid separately by Capital Hope.
For 12 months from Go-Live, Developer shall provide free maintenance/support for existing agreed functionality, including bugs, defects, patches, security defects, corrections and critical technical issues. Developer shall provide timely responses and shall not intentionally avoid or delay reasonable support.
If a software-related issue stops or materially affects Capital Hope's work, Developer shall treat it as a priority/critical issue and make reasonable efforts to start troubleshooting at the earliest possible opportunity, communicate status and provide a reasonable workaround where possible.
The software should operate properly for normal business use and should not unnecessarily become slow due to development defects, repeatedly crash, stop due to avoidable application errors, create avoidable storage issues, or cause data loss/corruption due to software defects. Defects attributable to Developer shall be investigated and corrected during the free service period without additional development charges.
After the first 12 months, Capital Hope may continue maintenance/support at a fee equal to 18% of the Total Project Cost per year, payable annually or in equal monthly instalments. As on the date of this Agreement, the Total Project Cost is Rs. 29,000/-, so this works out to Rs. 5,220/- per year (approx. Rs. 435/- per month). If the Total Project Cost is revised at any time in the future — including on account of approved Change Requests, additional modules, or scope additions agreed in writing — the annual/monthly maintenance fee shall automatically stand recalculated as 18% of the revised Total Project Cost, without requiring a fresh agreement or renegotiation of this clause. This covers existing agreed functionality. New features, major modifications and new integrations require separate prior approval.
For software-related renewals/re-verifications/technical renewals, including DigiLocker, telecom/SMS, official email, hosting, API/service accounts, domain/SSL or other software-related third-party services, Developer shall provide technical assistance and complete the applicable process without a separate professional/service-processing fee.
Actual third-party renewal/subscription/API/government/GST or other official charges shall be paid by Capital Hope. Developer shall guide Capital Hope, inform it of requirements, complete the technical/application-side process, make configuration changes and coordinate wherever technically possible, without charging a separate processing fee.
Developer shall follow reasonable security practices, role-based access, OTP security, API-level restrictions, vendor isolation, audit logs, HTTPS/SSL and secure sessions. All Capital Hope business/customer/claim/vendor/loan/payout/report/employee data remains Capital Hope property and confidential.
Razorpay, Cashfree, PayU and other online payment gateways are excluded. The FMS maintains internal payout/payment records and workflows.
Features genuinely outside the approved PRD require a written Change Request with scope, price and timeline, approved by Capital Hope before work begins.
Developer shall not install any remote kill switch, hidden access, time-based expiry, unauthorized backdoor or other mechanism restricting Capital Hope's access to its system. Any retained administrative access must be disclosed.
Developer shall provide at least one reliable support channel. For critical issues, Developer shall make reasonable efforts to respond at the earliest possible opportunity and shall not unnecessarily avoid calls/messages concerning an active critical software problem.
Either party may terminate for material breach after reasonable written notice and opportunity to rectify. On termination, completed work, source code and materials corresponding to payments already received shall be handed over, subject to applicable obligations.
This Agreement together with the approved Capital Hope FMS PRD forms the project understanding. Commercial, ownership, confidentiality, payment and legal terms of this Agreement prevail in case of conflict; technical functionality follows the approved PRD.
